Terms of Service

These Terms of Service explain the rules and conditions governing your use of the Home Health Diary website and software platform.

Welcome to Home Health Diary. These Terms of Service govern your use of homehealthdiary.com and the Home Health Diary platform, operated by Integrated IT Solutions LLC. By using our website or platform, you agree to these Terms.

Who We Serve

Home Health Diary is a B2B software platform built for licensed home care, Service Coordination, and Medicaid waiver agencies, including NHTD and TBI programs.

The platform supports PBIS, ILST, CIC, and Service Coordination workflows. Our website is for information and demo requests only. No purchases are made through the website.

Platform Access

Platform access requires a signed Order Form and, before any Protected Health Information (PHI) is entered, a signed Business Associate Agreement (BAA).

Your subscription covers the users, features, term, and pricing listed in your Order Form. Access is for your agency's internal operations only. It may not be resold, shared with third parties, or transferred.

Your Data Belongs to You

Your agency owns all data you enter into the platform, including participant records, service plans, session notes, and documentation. We never sell your data.

You are responsible for the accuracy of your data and for using the platform in compliance with HIPAA, New York Medicaid waiver rules, and RRDC requirements.

Acceptable Use

You agree not to:

  • Misuse or attempt to hack the platform or website.
  • Share login credentials outside your authorized team.
  • Submit false or fraudulent information.
  • Reverse-engineer the software.
  • Use automated tools to scrape data.

Fees and Payment

Fees are set in your Order Form. Invoices are due within 30 days. Accounts more than 60 days past due may be suspended after written notice.

We provide 30 days' notice before any price change, effective at your next renewal.

If you believe an invoice is incorrect, contact us within 60 days of the invoice date so we can review and resolve it.

Term, Renewal, and Cancellation

Subscriptions renew automatically for the same term unless either party gives 30 days' written notice before renewal.

After termination, you have 30 days to export your data free of charge. We then retain records in secure archive form as required by Medicaid record-retention rules, typically six years or longer, before deletion.

Sections covering payment obligations, confidentiality, data ownership, warranty disclaimers, and limitation of liability survive termination of this Agreement.

Service Availability

We use commercially reasonable efforts to keep the platform secure, accurate, and available.

However, the platform is provided “as is,” and we do not guarantee uninterrupted or error-free service, including delays caused by third-party systems such as eMedNY or state Medicaid networks.

Limitation of Liability

Neither party is liable for indirect or consequential damages. Our total liability is limited to the fees you paid in the 12 months before the claim.

This limit does not apply to breaches of confidentiality obligations or gross negligence or willful misconduct.

Confidentiality

Both parties agree to protect each other's confidential information. Your Customer Data is your confidential information.

Our software, pricing, and technical details are our confidential information.

Changes to These Terms

If we update these Terms, active customers receive email notice at least 30 days before material changes take effect.

Governing Law

These Terms are governed by the laws of the State of Washington, with venue in Asotin County, Washington.
